About the role
As a Group Corporate Secretary you shall build and ensure the integrity of the governance framework. You will provide leadership in building and managing compliant global entities for Skuad.
You will be responsible to:
- Build the company secretarial function internally and providing leadership
- Support lifecycle management, governance, database management, corporate records maintenance and strategic transactional work for the legal entity
- Manage the formation, registration, ongoing maintenance and disposition of new and existing legal entities
- Perform corporate secretarial functions such as coordinating board meetings, drafting and reviewing by-laws, articles, operating agreements, partnership agreements, capitalization tables, stock registers/transfer documentation, minutes, resolutions across the group entities
- Organise and prepare agendas and papers for board meetings, committees and annual general meetings, take minutes, lodge required forms, annual returns and other correspondence with Regional Company Registrars
- Resolve issues with subject matter expertise in relevant laws, regulations, policies and guidelines
- Maintain statutory registers or books including registers across various jurisdictions. Liaise with teams and service providers in various jurisdictions for this purpose.
- Conduct group secretarial audits across various jurisdictions
- Provide transactional support for corporate transactions
- Document Database management and ensuring data integrity.
- Manage team members across countries.
Ideal candidate
- Extensive knowledge and proven experience in management of the Company Secretarial function for private limited companies across countries
- 12+ years of experience working in companies with significant legal entity governance, corporate transactional and regulatory structure reporting
- Ability to engage collaboratively with all stakeholders, influence key decision makers and manage change across the organization
- Technical secretarial qualification (ICSA/ SAICSA or equivalent)
- Strong understanding of equity investment operative documents
- Experience with Global Entity Management System and related tools.
- Excellent numerical, organizational, communication, IT and time management skills.
- High standards of confidentiality, discretion and integrity
